Crowdfunding & Revenue Share Agreement

1. What This Is

The ASHOT Startup Campaign is a creative crowdfunding program that lets fans support the production of an original drama series and receive exclusive rewards. Contributions are voluntary and are not a purchase of equity, a securities offering, or a financial investment product of any kind.

GG TECHNOLOGY HK LIMITED (“ASHOT”, “we”, “us”) operates this program. All campaign terms are governed by the laws of Hong Kong SAR.

2. Four Support Tiers

The campaign offers four tiers. Each tier is a one-time, non-refundable contribution (subject to our Refund Policy) that grants you the listed rewards.

★ Only the Core Revenue tier participates in revenue sharing. Tiers 1–3 receive no financial return.

3. Core Revenue Tier — Revenue Share Terms

3.1 Revenue Share Pool

ASHOT allocates 5% of the drama's net revenue as a collective pool shared among all Core Revenue backers of that drama. This 5% is a fixed total — it does not multiply per backer. The more backers participate, the smaller each individual's slice of the same pool.

Net revenue means the total amount received from paid content orders for the drama (episode unlocks and full-series purchases), after deducting payment-processor fees (typically 2.9% + $0.30 per transaction for Stripe).

3.2 Equal Share per Backer

Each Core Revenue backer receives an equal slice of the shared pool. The formula is:

Your earnings = (5% × net drama revenue) ÷ total number of Core Revenue backers

3.3 Measurement Period

Revenue is measured from the date the drama's campaign closes (funded or ended) until 36 months after the drama's final episode is published, or until the drama is removed from the platform, whichever comes first.

3.4 Payout Method

Earnings are accrued in your ASHOT account as a USD credit balance. Payouts are calculated quarterly (March, June, September, December). You may request a bank transfer or Stripe payout once your accrued balance reaches $10.00 USD. Earnings below $10.00 roll over to the next quarter. ASHOT may apply a 5% platform processing fee on each payout transfer.

3.5 Viewing Your Estimated Earnings

Core Revenue backers can view their accrued estimates at any time in Account → My Investments. Figures shown are estimates based on recorded revenue to date and are not guaranteed final amounts.

4. Disclaimers and Risks

• Not a security. This contribution does not constitute the purchase of shares, equity, or any regulated financial instrument. ASHOT is not a licensed securities exchange or investment platform.
• No guaranteed return. Revenue share earnings depend on actual content revenue, which may be zero. Past performance or funding goals do not guarantee future revenue.
• No ownership. Core Revenue backers do not acquire ownership of the drama, its intellectual property, or any assets of GG TECHNOLOGY HK LIMITED.
• Platform risk. If ASHOT ceases operations, revenue share obligations cease. We are not obligated to continue operating the platform indefinitely.
• Drama cancellation. If a drama is cancelled or removed before completion, backers are not entitled to a refund of their contribution unless ASHOT determines otherwise in its sole discretion.

5. What You Agree To By Contributing

By completing a campaign contribution, you confirm that:

• You are at least 18 years old (or the legal age of majority in your jurisdiction).
• You have read and understood this agreement and the ASHOT Terms of Service.
• You understand this is a voluntary creative-crowdfunding contribution, not a financial investment, and you may receive no financial return.
• For digital content tiers: you agree that digital rewards (early access, side stories, digital merch) are delivered immediately upon payment and are non-refundable once accessed.
• For Core Revenue tier: you agree to the revenue-share terms in Section 3 of this agreement.
• ASHOT may update these terms with 30 days' notice to registered email addresses. Continued access to your rewards after the notice period constitutes acceptance.
